These Terms of Service (“Terms”) govern your use of Novyx’s (“Novyx,” “we,” “our,” or “us”) websites, platforms, SaaS products, and AI-powered services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
1. Eligibility
Our Services are intended for business users only.
Users must be 18 years or older and legally capable of entering into contracts.
There are no location restrictions, but users are responsible for complying with local laws.
2. Account Creation
Depending on the service, you may need to create an account to access certain features.
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.
3. Services Overview
Novyx provides:
AI automation and workflow tools
Chatbots and conversational AI
Lead generation and business analytics
SaaS solutions and AI consulting
Services may involve automated decision-making and AI-generated outputs. Users remain responsible for how they use AI outputs in their business operations.
4. Payment Terms
Payment models: subscriptions, one-time payments, custom contracts, usage-based billing, and free trials (duration varies per industry/customer).
Billing: users are responsible for providing accurate billing information.
Refunds: all payments are non-refundable.
Free trials: available depending on service; trial limitations are communicated upfront.
5. Intellectual Property
Client content: Clients retain full ownership. Novyx receives a license to use client content solely for delivering services.
AI outputs: Ownership is defined case by case in contracts.
Service improvements: Novyx may use anonymized data or outputs to improve services.
All content on Novyx platforms (except client data) is © Novyx and protected by copyright and other intellectual property laws.
6. Acceptable Use
You agree not to:
Use the Services for illegal purposes
Send spam, phishing, or abuse the system
Reverse engineer or attempt to access internal algorithms
Infringe on intellectual property rights
Manipulate AI outputs in ways that violate law or ethics
Abuse API limits or exceed fair usage policies
Novyx reserves the right to suspend or terminate accounts for violations.
7. AI Outputs & Disclaimers
AI outputs are provided “as-is” and are advisory only.
Accuracy is not guaranteed; users are responsible for decisions based on AI outputs.
Novyx disclaims liability for damages resulting from AI-generated content, except as limited below.
8. Limitation of Liability
Maximum liability to any user is limited to the fees paid in the last 12 months.
Novyx is not liable for indirect, incidental, or consequential damages, including business loss or data errors.
9. Suspension & Termination
Novyx may suspend or terminate accounts for:
Policy violations.
Non-payment.
Security risks.
At its discretion with notice.
Users may terminate accounts at any time, effective at the end of the current billing cycle.
10. Fair Use & Service Limits
Users must adhere to fair usage policies, including API rate limits.
Novyx does not guarantee uninterrupted service; temporary downtime may occur.
Beta features may be provided as-is without SLA guarantees.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of Peru.
In the event of a dispute, parties agree to first attempt good faith negotiations. If unresolved, disputes may proceed to arbitration or court as appropriate under Peruvian law.
12. Changes to Terms
Novyx may update these Terms periodically.
Updated Terms will be posted with a revised “Last updated” date.
Continued use of Services after updates constitutes acceptance of the revised Terms.
